Trong khi đó, Luật Đầu Tư bao gồm các quy định về các hoạt động đầu tư, quyền và nghĩa vụ của nhà đầu tư, đăng ký và đánh giá dự án đầu tư, các ưu đãi đầu tư, đảm bảo đầu tư, và quản lý nhà nước về đầu tư. Luật này thay thế Luật Đầu Tư Nước Ngoài tại Việt Nam và Luật Khuyến Khích Đầu Tư Trong Nước, áp dụng chung cho cả nhà đầu tư nước ngoài và trong nước.
Việt Nam đã ký kết và tham gia nhiều thỏa thuận song phương và đa phương về đầu tư, bao gồm các hiệp định khuyến khích và bảo vệ đầu tư với 60 quốc gia và vùng lãnh thổ. Quá trình cổ phần hóa, bao gồm việc chuyển đổi DNNN thành công ty cổ phần và bán một phần hoặc toàn bộ vốn cho nhân viên và/hoặc nhà đầu tư tư nhân, đã được khởi xướng từ năm 1991. Đến cuối năm 2011, đã có hơn 3.976 DNNN được cổ phần hóa. Trong số này, có 1.309 doanh nghiệp 100% vốn nhà nước, bao gồm 101 tập đoàn và tổng công ty.
Cam kết đầu tư của Chính phủ
Chính phủ Việt Nam cam kết bảo đảm quyền lợi cho các nhà đầu tư. Vốn đầu tư và tài sản hợp pháp của nhà đầu tư sẽ không bị tước đoạt hoặc tịch thu theo luật pháp hoặc biện pháp hành chính. Doanh nghiệp có vốn đầu tư nước ngoài sẽ không bị quốc hữu hóa. Các nhà đầu tư nước ngoài được phép chuyển vốn và lợi nhuận ra nước ngoài, cũng như các khoản vay chính và lãi.
Ngoài ra, các nhà đầu tư cũng được bảo đảm quyền lợi trong trường hợp có thay đổi bất lợi từ luật pháp thông qua việc áp dụng một số biện pháp, chẳng hạn như cho phép điều chỉnh hoạt động hoặc được miễn giảm thuế. Hơn nữa, nếu có các quy định mới có lợi hơn được ban hành, nhà đầu tư hiện tại cũng sẽ được hưởng các lợi ích này.
